Independent Contractor Agreement

This Independent Contractor Agreement (“Agreement”) is entered into by and between A.C.N. 677 123 134 Pty Ltd (ACN 677 123 134) t/as ClinicianX ABN 52 677 123 134 (“Platform”) and the independent Occupational Therapist or supervisor (“Contractor”).

1. Independent Contractor status

1.1. The Contractor acknowledges and agrees that they are an independent contractor and not an employee of ClinicianX.

1.2. The Contractor is solely responsible for their own taxes, registration, insurance, and compliance with local regulations.

1.3. ClinicianX does not control the manner or method by which the Contractor provides Occupational Therapy or supervision services.

2. Responsibilities of the Contractor

2.1. The Contractor must maintain current AHPRA registration, appropriate professional indemnity and public liability insurance, and any qualifications required by law. The Contractor must notify ClinicianX promptly of any change to their AHPRA registration, including any condition, undertaking, notation, reprimand, suspension, cancellation or lapse, and must update or hide their ClinicianX profile or listing where it is no longer accurate.

2.2. The Contractor agrees to provide Occupational Therapy or supervision services in a professional, ethical, and timely manner and within their scope of competence.

2.3. The Contractor must adhere to ClinicianX’s Terms and Conditions and Privacy Policy.

2.4. The Contractor must keep their profile, location, availability, and capacity information current and advise ClinicianX when a successful connection or match has been created.

2.5. The Contractor must handle client, referrer, and clinician enquiry information securely, use it only for responding to the enquiry or providing agreed services, and comply with applicable privacy and confidentiality obligations.

3. Payment terms

3.1. There are no ClinicianX subscription or supervisor match fees. Professional supervision fees are arranged directly with the independent supervisor.

3.2. Contractors are responsible for arranging and managing direct service payments with their clients unless ClinicianX has expressly provided a managed payment flow for that service.

3.3. Contractors remain responsible for their own service fees, contracts, invoicing, and payment arrangements with clients, referrers, OTs, or supervisors as applicable.

4. Termination

4.1. Either party may terminate this Agreement with written notice.

4.2. ClinicianX reserves the right to terminate the Contractor’s access to the platform for violations of the Terms and Conditions or professional misconduct.

5. Limitation of liability

5.1. ClinicianX is not liable for any claims arising from the services provided by the Contractor.

5.2. The Contractor agrees to indemnify and hold harmless ClinicianX from any claims, damages, or expenses arising from their services.

By listing services on ClinicianX, independent Occupational Therapists and supervisors acknowledge that they have read, understood, and agreed to these terms.
