Independent Contractor Agreement

This Independent Contractor Agreement (“Agreement”) is entered into by and between ClinicianX (“Platform”) and the Supervisor (“Contractor”).

1. Independent Contractor Status

1.1. The Contractor acknowledges and agrees that they are an independent contractor and not an employee of ClinicianX.

1.2. The Contractor is solely responsible for their own taxes, licenses, insurance, and compliance with local regulations.

1.3. ClinicianX does not control the manner or method by which the Contractor provides supervision services.

2. Responsibilities of the Contractor

2.1. The Contractor must maintain valid professional licenses and certifications as required by law.

2.2. The Contractor agrees to provide supervision services in a professional, ethical, and timely manner.

2.3. The Contractor must adhere to ClinicianX’s Terms and Conditions and Privacy Policy.

2.4. The Contractor must advise ClinicianX when a successful match has been created.

3. Payment Terms

3.1. Payment for services will be processed through the platform, with ClinicianX deducting a 10% service fee from the Contractor’s earnings for completed tasks.

3.2. The Contractor will receive payment only after the user confirms that the task has been completed or the question has been answered.

3.3. Subscription and match fees collected through the platform are based on the plan chosen by the Contractor. These fees are facilitated by Stripe and subject to ClinicianX’s payment terms.

4. Termination

4.1. Either party may terminate this Agreement with written notice.

4.2. ClinicianX reserves the right to terminate the Contractor’s access to the platform for violations of the Terms and Conditions or professional misconduct.

5. Limitation of Liability

5.1. ClinicianX is not liable for any claims arising from the services provided by the Contractor.

5.2. The Contractor agrees to indemnify and hold harmless ClinicianX from any claims, damages, or expenses arising from their services.

By using ClinicianX, all users and supervisors acknowledge that they have read, understood, and agreed to these terms.
